Terms of Service

These Terms of Service ("Terms") govern your access to and use of HelpPilot's website, dashboard, chat widget, APIs, and related services (collectively, the "Service"), operated by Aztec Software, LLC (doing business as HelpPilot.io, "HelpPilot," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Acceptance of Terms

By signing up for an account, clicking "I agree," or otherwise accessing the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you're using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Description of Service

HelpPilot provides an AI-powered customer support platform that includes a chat widget, conversation inbox, knowledge base, and supporting APIs and integrations. Features, pricing tiers, and usage limits may change over time. We may add, remove, or modify features at our discretion.

3. Account Registration

To use most features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your account credentials confidential and not share them with anyone.
  • Notify us immediately of any unauthorized access to your account.
  • Be responsible for all activity that occurs under your account.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Send spam, phishing, harassment, or other unsolicited or unlawful communications.
  • Upload or transmit malicious code, malware, or any content designed to disrupt the Service.
  • Attempt to gain unauthorized access to the Service, its infrastructure, or other accounts.
  • Reverse engineer, decompile, or scrape the Service except as expressly permitted by law.
  • Use the Service to build a competing product or to train competing machine learning models.
  • Exceed the rate limits, conversation quotas, or storage limits of your subscription tier.

We may suspend or terminate accounts that violate this section, with or without notice.

5. Subscription, Billing, and Refunds

Paid plans are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

  • Cancellation: You may cancel at any time from your dashboard. Cancellations take effect at the end of your current billing period; you retain access until then.
  • Refunds: Fees are non-refundable except where required by law. Partial-month refunds are not provided.
  • Price changes: We may change pricing with at least 30 days' notice. Changes take effect at your next renewal.
  • Taxes: Fees do not include taxes. You are responsible for any sales, use, VAT, or similar taxes applicable to your subscription.
  • Overage: Usage above your plan's quota may be billed at the rates published on our pricing page or may require an upgrade to a higher tier.

6. Customer Data and Privacy

"Customer Data" means the content, messages, knowledge base articles, and end-user information you submit to the Service. You retain all rights to your Customer Data. You grant HelpPilot a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to operate and improve the Service for you.

You are responsible for ensuring you have the rights and consents necessary to submit Customer Data, including end-user personal data, to the Service.

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. Where HelpPilot acts as a data processor on your behalf, the Privacy Policy describes the applicable processing terms.

7. AI-Generated Responses

The Service uses large language models and other AI systems to generate responses to end-user questions. AI output can be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI-generated content before relying on it, and for configuring your knowledge base, guardrails, and human-handoff rules appropriately for your use case.

HelpPilot does not warrant that AI-generated responses are accurate, fit for any particular purpose, or free of errors.

8. Intellectual Property

HelpPilot and its licensors own all right, title, and interest in and to the Service, including all software, designs, trademarks, logos, and documentation. These Terms do not grant you any rights to our trademarks or branding. You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted in these Terms.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, HelpPilot and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or your use of the Service. Our total cumulative liability for any claim arising out of or relating to these Terms shall not exceed the greater of (a) the amounts you paid to HelpPilot in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless HelpPilot and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your Customer Data, (c) your violation of these Terms, or (d) your violation of any third-party right.

12. Termination

You may terminate your account at any time by canceling your subscription and discontinuing use of the Service. We may suspend or terminate your account at any time, with or without notice, if you breach these Terms or if we discontinue the Service.

On termination, your right to use the Service ends immediately. We may delete your Customer Data after a reasonable retention period. Sections that by their nature should survive termination (including payment obligations, intellectual property, disclaimers, limitations of liability, and indemnification) will survive.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts and waive any objection to venue.

You and HelpPilot agree that any dispute will be brought on an individual basis only, and not as a plaintiff or class member in any purported class or representative proceeding.

15. Miscellaneous

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and HelpPilot regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver: Our failure to enforce any provision is not a waiver of that provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
